شرط پذیرش مسئولیت یا جبران خسارت (INDEMNITY)، با تأکید بر قراردادهای بالادستی صنعت نفت و گاز

چکیده

دشواری استحصال نفت از اعماق زمین و بستر دریاها صنعت نفت را به یکی از پرخطرترین و پرهزینهترین صنایع جهان تبدیل کرده، به نحوی که طرفین قراردادهای بالادستی هماره به سوی استفاده از راهکارهای گوناگونی برای تخصیص ریسک، همچون شرط پذیرش مسئولیت یا جبران خسارت، سوق داده می‏‌شوند. در شرط مذکور، مسئولیت یا جبران خسارات بر عهدۀ طرفی قرار میگیرد که به نحو مطلوبتری بتواند آن را مدیریت کند. تکرار مداوم این شرط در انواع قراردادهای بالادستی نفت و گاز کشورها، به‌‏ویژه قراردادهای جدید بالادستی نفتی ایران موسوم به قراردادهای IPC را می‌‏توان حاکی از شکل‌‏گیری عادت «مرحله‌‏ای قبل از تشکیل قاعدۀ عرفی» در زمینۀ تخصیص ریسک در صنعت نفت و گاز دانست که بی‌‏تردید گامی در راستای شکل‏‌گیری حقوق عرفی نفت در آینده خواهد بود. اما با تعمق بیشتر در نحوۀ نگارش این شرط در قراردادهای بالادستی و نیز نوشته‌‏های اندیشمندان حقوقی می‌‏توان دریافت که دربارۀ مفهوم دقیق این اصطلاح وفاق کلی وجود ندارد و بعضاً محدودۀ آن با سایر اصطلاحات درهم آمیخته است. بنابراین، در این مقاله به بررسی مفهوم، ماهیت، آثار و نکات مهم در تدوین این شرط پرداخته شده است.

چکیده [English]

Difficulty of extraction from the depths of the earth and sea beds has made oil and gas industry the most dangerous industry in the world, so that the parties of upstream oil and gas contracts always seek to use different solutions such as indemnity clause to allocate the risks. According to indemnity clause, risks is up to the party that is more capable of managing risks. continuously repetition of this clause in the aforementioned contracts can be regarded as a practice- a step before formation of a custom rule- in the field of risk allocation in oil and gas industry that undoubtedly will be an effective step in formation of lex petrolea in the future. But by a survey in writings and thoughts of scholars and the text of the upstream oil and gas contracts, it can be found that there is no overall consensus about the definition and scope of this clause and sometimes the scope of this clause has been confused with other similar terms. So in present article we have considered concept, nature and important notes in drafting of this provision.
